At our conference with the Solicitor yesterday he explained to us that the contract he had drawn up and which we had entered into with the War Office, to supply 100 armoured car chassis, necessitated our delivering the chassis (including modifications mentioned on the schedule attached to the contract) within two months from the signing of the contract, namely, before the 21st November next. Although if we cared to deliver standard chassis without modifications we could receive payment for them, this, however, would not prevent the War Office having the right to cancel the order at any time after the 21st November for any chassis which we had delivered without the modifications, in which case we should have to return to them the money they had paid for the incomplete chassis. At our conference with Col. Hutchinson in the afternoon I made the following notes - (1) Col. Hutchinson agrees that we shall deliver chassis as soon as we like with modifications complete, with the exception of mechanical tyre pump, and a starter for magneto which can be used inside the car. (2) That the pump and starter can be purchased by us on the market, and need not be designed or manufactured by us. He has informed the works where we can obtain a pump with which he is satisfied, and he has ascertained from the makers that they can supply 100 of these pumps to us within one month. He agrees that if we make a contract with the pump and starter manufacturers to supply us with these goods before the 21st November, and if the manufacturers do not keep their contract, providing we have used all reasonable means to obtain the parts we shall not be held liable for non-delivery. All that remains for us to do, therefore, is to - (a) Order the pump and starter. (b) Design and manufacture the necessary parts which can eventually be fitted to our chassis to drive the pump and starter. (c) Deliver these parts, not fitted to the chassis, by the 21st November. | ||
