The tender attached hereto is subject to the following terms and conditions except in so far as it specifically modifies them:— 1. Unless previously withdrawn, this tender is open for acceptance within thirty days from the date thereof. 2. No accessories are included except those clearly specified in the tender. 3. Delivery will be given at our Works. 4. This tender is an estimate only, and the customer’s order shall not be binding on us unless and until such order shall have been accepted by us in writing. 5. The following are the terms and conditions attaching to the acceptance by us of any order, except where modified by special agreement or otherwise in writing by us. 6. Our manufactures are carefully inspected and submitted to our standard tests at our Works before despatch. We therefore give to all purchasers (subject to the terms of payment being strictly observed) the following guarantee which is to exclude and to take the place of any Condition or Warranty implied by statute or otherwise :— If within twelve months (or five years in the case of Megger and Bridge-Megger Testing Sets) of the date of despatch any defect is discovered in any apparatus in respect of material or workmanship, and reasonably within our control, we undertake to make good the defect at our own expense, provided that notice is given to us as soon as it is discovered and that the apparatus is immediately forwarded to our Works, carriage paid and with seals unbroken. Our responsibility is in all cases limited to the cost of making good the defect in the apparatus itself. This guarantee does not apply to defects caused by wear and tear, abnormal conditions of working, accident, misuse or neglect. In the case of goods not of our manufacture, the customer is entitled to the benefit of any guarantee given to us in respect thereof, at the termination of such period all liability on our part ceases. 7. If special tests or tests on site are required they will be charged for extra ; and in the event of any delay on the part of the customer’s representative in attending such tests after seven days’ notice that we are ready, the tests will proceed in his absence, and shall be deemed to have been made in his presence. 8. All descriptions, drawings and other particulars furnished by us are as accurate as possible ; but we cannot be bound by any such information, unless specifically confirmed by us. 9. Packing and cases will be charged for and credited in full only on receipt of empties within one month in good condition, with packing material, carriage paid. 10. The purchaser should sign the carrier’s receipt note “Goods received unexamined.” If goods sent carriage forward are found to have been damaged, a claim should be made against the carrier as we take no responsibility. In cases where we pay carriage, any damage should be reported to us forthwith, as unless a claim is made on the carriers within three days no redress is possible. We therefore cannot make ourselves responsible. In any case our responsibility is limited to that which the carriers will accept. 11. The time given for despatch is to be reckoned from the date of receipt by us of a written order and of full instructions enabling us to put the work in hand, and is contingent upon the absence of delays due to strikes, lock-outs, fire, accident, and other causes beyond our control. We accept no contingent liability of any kind on account of delays in completion. 12. Ledger accounts will be opened for new customers only on their furnishing satisfactory trade references. 13. Where no other terms of payment have been agreed, payment in respect of any goods shall be due on notification by us that they are ready for despatch. 14. Any liability on our part is subject to the terms of payment and all the customer's other obligations to us under the contract being strictly observed. 124f. Sept., 1921. | ||
