-2- Messrs. Rolls Royce Ltd. 8/5/40. We have left out of the License Agreement how the lump sum payments are to be made, as we feel the wording of this clause should be agreed by our respective lawyers, but the intention is that, as and when it is decided to put any Road Transport Compression Ignition engine into production, a lump sum of £3,500 should be paid by Rolls Royce to Armstrong Whitworth, on account of each separate model, up to £10,500, or representing the putting into production three separate engines. But Rolls Royce would be free to put any further models into production without any additional lump sum payments. No royalties will be payable on any engines until a year after the first lump sum of £3,500 has been paid. Yours faithfully, For ARMSTRONG WHITWORTH SECURITIES CO., LTD.
