THIS DEED made the of One thousand nine hundred and forty between Sir W.G.Armstrong Whitworth & Company (Engineers) Limited, whose registered office is situate at 24, Stowell Street, Newcastle-upon-Tyne, England (hereinafter called "Armstrongs", which expressions where the context permits includes their Successors and Assigns), of the first part, Michael Kadenacy of 120, rue Lecourbe, Paris, (hereinafter called "Mr.Kadenacy") of the second part, Herbert Sammons of Wylam House, Windsor Road, Gerrards Cross, Buckinghamshire (hereinafter called "Mr. Sammons"), of the third part, Armstrong Whitworth Securities Company Limited, whose registered office is at 24, Stowell Street, Newcastle-upon-Tyne, aforesaid (hereinafter called the "Securities Company") of the fourth part, and Rolls-Royce Limited whose registered office is at Derby (hereinafter called "The licensees") of the fifth part. WHEREAS Armstrongs (a) are sole licensees (with power to sub-license) for the manufacture and sale in all parts of the world of engines constructed under and protected by the Letters Patent referred to in Part 1 of the First Schedule hereto (b) are the Sole Proprietors of the Letters Patent referred to in Part 11 of the same Scheduel and (c) have the right to call upon the Joint Proprietors of the Letters Patent referred to in Part 111 of the same Schedule to grant Licences thereunder. AND WHEREAS Armstrongs have agrred to grant to the Licensees a licence to manufacture and sell Engines protected by the said Letters Patent and the parties of the second, third and fourth parts have agrred to join in this Deed for the purposes hereinafter set out.
