Dear Mr.Robotham,

I was very glad to have the opportunity last Friday, during my visit to your Works to show you particulars of some of the engines which we have designed and made here, and the results obtained from them.

I was also glad that you firm has decided to make a prototype vehicle diesel engine round about 100 H.P. and that you wish us to supply you with the general design of such an engine, incorporating the Kadenacy System.

As intimated the general terms on which we envisage we could collaborate with you in the production of such an engine would be for you to pay us for all our out of pocket expenses in connection with the preparation of drawings,and you would pay us a sum of money as the purchase price of the design of the engine,as and when the design of the engine was adopted by you. There would also be a royalty for the use of the patents to be based on a figure representing 3 per cent of the nett selling price of the engine,such a royalty would probably be finally fixed at either so much per horse power or per engine.

My understanding of the matter as we left it was that you would during the course of this week look over your requirements,and we would then put forward our definite proposals for the engine,and our terms in writing.

I know my firm feels that in the interests of us both,it would be advantageous to agree upon the commercial
