Dear Mr. Johnson:

Regarding the broad question of
Patents..

At conference held this date - present - Messrs. Johnson, Fuller, Hosac, Beaver, Nadin, the matter was discussed and in view of the fact that the English Company apparently are taking out more patents than the American Company feel it could profitably use and is willing to pay for in the United States, it is agreed that as heretofore the English Company will submit to the American Company any patents which they are taking out in England and give the American Company the opportunity to request the English Company to make patent application and take out patent in U.S.A. on behalf of the American Company and subject to assignment to American Company.

If the American Company should turn down any patent application so presented to it, then the English Company may do as they like with it, as concerns application on their own behalf in U.S.A.

The American Company will submit promptly to the English Company any patent which it may take out in the United States and give them free of any charge the right to take out these patents in England or to instruct the American Company to apply and take out the patents in England on behalf and at the expense of the English Company.

Nothing in the above, however, shall be interpreted as in any way limiting the rights of Rolls-Royce of America, Inc. to manufacture identical product to that of Rolls-Royce Ltd. as made by it in England.

It is understood that all employees of the American Company under contract assign to the American Company their inventions and that England, through the American Company, will have these rights.
